Terms of Service (ShearIQ)

These Terms of Service (“Terms”) apply to your access to and use of ShearIQ (the “App”) and our website (together, the “Services”). By creating an account, purchasing a subscription, or using the Services, you agree to these Terms.

1) About ShearIQ

ShearIQ is a digital app for New Zealand shearers to track, store, and view shearing statistics and related records.

 

2) Eligibility and your account

  • You must be at least 13 years old to use the Services. If you are under 18, you must have permission from a parent/guardian.
  • You must provide accurate account information and keep it up to date.
  • You are responsible for safeguarding your login details and all activity on your account.
  • You must notify us promptly if you suspect unauthorised use of your account.

 

3) Subscriptions, pricing, and payments

  • Subscription plans, features, and pricing are shown at checkout in NZD and indicate whether GST is included or added.
  • Payments are processed through our payment provider(s). We generally do not store full card details on our systems.
  • By purchasing a subscription, you authorise us (and our payment provider) to charge your selected payment method according to your plan.

Trials and promotions (if offered)
If we offer a free trial or promotional pricing, the terms will be shown at sign-up/checkout (including when billing begins and how to cancel before renewal).

 

4) Renewals and cancellation

  • Auto-renewal: Subscriptions renew automatically unless cancelled before the renewal date shown in your account or checkout.
  • Cancel anytime: You can cancel via [Account Settings path/link]. Cancellation generally takes effect at the end of your current billing period, unless stated otherwise at checkout.
  • If you cancel, you may retain access until the end of the paid period, then your account may move to a free/limited tier (if available).

 

5) Refunds

Refund rules are set out in our Refund/Return/Cancellation Policy.

For clarity: in New Zealand, customers are not automatically entitled to a change-of-mind refund unless a business policy provides it. (Consumer Protection)

6) Service activation and “delivery”

Because ShearIQ is a SaaS product, “delivery” means access to the Services.

  • New subscriptions are typically activated shortly after successful payment (often within minutes).
  • If activation is delayed due to a technical issue on our side, contact [support@sheariq.co.nz] and we’ll work to resolve it. If we cannot provide the service within a reasonable timeframe, you can request a remedy in line with our policies and applicable law.

 

7) Your data, stats, and content

What you provide: You may enter or upload information such as tallies, dates, shed/farm/location notes, and related metrics (“User Content”).

Ownership: You keep ownership of your User Content.

Licence to operate the service: You grant us a non-exclusive licence to host, store, process, and display your User Content solely to provide and improve the Services.

Accuracy: You are responsible for the accuracy of what you enter. We do not guarantee that statistics or outputs are error-free.

Privacy: How we collect and use personal information is described in our Privacy Policy. This includes how we handle overseas storage/processing where applicable. (Privacy Commissioner)

 

8) Acceptable use

You agree not to:

  • misuse the Services, attempt unauthorised access, or interfere with security,
  • upload malware, harmful code, or attempt to disrupt our systems,
  • use the Services unlawfully, or
  • infringe other people’s rights (including privacy and intellectual property).

We may suspend or terminate access if we reasonably believe you’ve breached these Terms.

 

9) Intellectual property

ShearIQ (including the app, website, branding, text, graphics, and software) is owned by us or our licensors and is protected by intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of our Services unless we give written permission.

 

10) Service availability, updates, and changes

We aim to keep the Services available and reliable, but we do not guarantee uninterrupted access. We may:

  • perform maintenance,
  • update features, or
  • modify or discontinue parts of the Services.

Where changes materially reduce paid features, we’ll take reasonable steps to provide notice.

 

11) Communications

We may send you service-related messages (e.g., billing, security, feature changes). Where marketing is sent, you can opt out at any time.

 

12) Disclaimers

To the extent permitted by law:

  • The Services are provided on an “as is” and “as available” basis.
  • ShearIQ provides tools for tracking and viewing statistics and does not provide professional, financial, or employment advice.

 

13) Liability

To the extent permitted by law, ShearIQ is not liable for indirect or consequential loss (such as loss of profits, loss of data, or business interruption). If we are liable, our total liability is limited to the amount you paid us for the Services in the 12 months before the event giving rise to the claim (or the minimum required by law, if higher).

 

14) New Zealand consumer law

Nothing in these Terms limits your rights under New Zealand consumer laws where they apply, including the Consumer Guarantees Act (faulty services may entitle you to remedies depending on the issue). (Consumer Protection)

Business use (optional clause)
If you are acquiring the Services for business purposes, we may agree (where permitted) to contract out of the Consumer Guarantees Act by written agreement. (Legislation New Zealand)

 

15) Suspension and termination

  • You may stop using the Services at any time.
  • We may suspend or terminate your access if you breach these Terms, or for security/legal reasons.
  • On termination, we may disable access and handle your information in line with our Privacy Policy and retention practices.

 

16) Changes to these Terms

We may update these Terms from time to time. We will post the updated version on our website and update the “Last updated” date. If changes are material, we’ll take reasonable steps to notify users.

 

17) Governing law

These Terms are governed by the laws of New Zealand, and the courts of New Zealand have non-exclusive jurisdiction.
